Forming a company in Dubai is fast — but the decisions you lock in during week one (activity, structure, shareholding, and the wording of your Memorandum of Association) are the ones founders fight about in year three. Business establishment is a core service at Ahmed Hassan Al Mazmi Advocates & Legal Consultants: we handle the legal side of setting up mainland and free-zone companies, and we litigate the shareholder disputes that badly-formed companies produce, so we know exactly which clauses prevent them.

A setup agent types your application. A lawyer reads what you are signing. If your company has more than one founder, investor money, or any custom arrangement about profits and control, the difference matters.

 

Mainland, free zone, or offshore?

  • Mainland (onshore) – licensed by Dubai's Department of Economy and Tourism. Trade anywhere in the UAE, bid for government contracts, no visa cap tied to a package (office size governs), physical office with Ejari registration required. Since the Commercial Companies Law reform (Federal Decree-Law No. 32 of 2021), foreign investors can own 100% of most mainland activities — no local sponsor — with a limited list of strategic sectors still requiring Emirati participation.
  • Free zone – licensed by the individual free-zone authority (DMCC, DIFC, JAFZA, IFZA, and others). 100% foreign ownership across the board, flexi-desk options, faster setup, but direct onshore UAE trading is restricted and government contracts are generally out of reach. Zones like the DIFC also bring their own courts and employment law.
  • Offshore – holding and asset-ownership vehicles with no UAE operating licence. Useful for specific structures; wrong for anyone who needs to invoice UAE customers.

The right answer follows from your clients and activities, not from whichever zone is cheapest this month. Choosing wrong means paying for a second licence and a restructuring later.

 

Common legal forms in Dubai

  • Limited Liability Company (LLC) – the default for mainland trading and services; 1 to 50 shareholders with liability limited to capital.
  • Sole establishment – one owner, full control, personal liability; suits licensed professionals and small operations.
  • Civil company – professional partnerships (consultancy, engineering, medicine, and similar).
  • Branch of a foreign company – operates under the parent's name and carries the parent's liability; good for expansion without a new entity.
  • Free-zone establishment / company (FZE / FZCO) – single or multi-shareholder free-zone entities under the zone's own rules.

 

Company formation in Dubai: the steps

  • 1. Activity and jurisdiction – match your real business to the official activity list and pick mainland or a specific free zone accordingly.
  • 2. Trade name reservation – check availability and naming rules, reserve the name.
  • 3. Initial approval – the authority's no-objection to proceed; some activities need extra regulator sign-off.
  • 4. MOA and corporate documents – draft and notarise the Memorandum of Association. This is the document that governs ownership, management powers, and profit split — have it drafted for your deal, not from a template.
  • 5. Office and Ejari – lease and register the business address (mainland) or take a zone package.
  • 6. Licence issuance – pay fees, receive the trade licence.
  • 7. Post-licence registrations – establishment card, MOHRE and visa processing, corporate bank account, and tax registrations.

Documents usually needed: passports of shareholders and managers, the signed MOA, tenancy contract (Ejari), initial approval, plus parent-company documents (attested) for branches or corporate shareholders.

 

Tax and compliance after setup

  • Corporate tax – registration with the Federal Tax Authority is mandatory for every company regardless of income. The rate is 0% on taxable profits up to AED 375,000 and 9% above; returns are due within nine months of the financial year end. Small Business Relief can apply for revenue up to AED 3 million for tax periods up to 31 December 2026.
  • VAT – 5%; registration is mandatory once taxable supplies exceed AED 375,000 a year and voluntary above AED 187,500.
  • Ongoing obligations – licence renewals, accounting records, UBO filings, and employment-law compliance once you hire.

Missing the corporate-tax registration deadline attracts penalties — put the registrations in the formation checklist, not the "later" list.

FAQ: business setup in Dubai

Can a foreigner own 100% of a Dubai mainland company?
Yes, for most commercial and professional activities since the 2021 Commercial Companies Law reform. A limited list of strategic sectors (such as defence and certain financial activities) still requires Emirati participation — we confirm your specific activity before you commit.

Mainland or free zone — which is cheaper?
Free-zone packages often look cheaper on day one, but if your customers are onshore UAE you may end up paying for a mainland licence anyway. Total cost over two years, including the structure you'll actually need, is the honest comparison.

Do I really need a lawyer if a setup agency can do the paperwork?
For a single-owner licence with no partners, often not. The moment there are co-founders, investors, profit-sharing arrangements, or side agreements, the MOA and shareholder agreement become the contract your future disputes are decided on — that is legal work, not form-filling.

What is a shareholder agreement and why is the MOA not enough?
The MOA is the registered constitutional document; a shareholder agreement sits alongside it and covers what registries don't — vesting, deadlock, exits, non-compete, and what happens when a founder leaves. Skipping it is the single most common cause of founder litigation we see.

How long does company formation take in Dubai?
Straightforward mainland setups typically complete in days to two weeks; free-zone setups can be faster. Activities needing external regulator approvals take longer.

Do new companies pay corporate tax?
Every company must register with the Federal Tax Authority. Tax is 0% up to AED 375,000 of taxable profit and 9% above it, with Small Business Relief available for qualifying smaller businesses for tax periods up to the end of 2026.
